Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Vortcom ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Services

Vortcom provides the following services:

• IT Services and Support
• Custom Software Development
• Web Design and Development
• Hospitality Technology Solutions
• IT Consulting and Advisory Services

3. Service Agreements

Specific services are governed by individual Service Level Agreements (SLAs) or Statements of Work (SOWs) which will be provided separately. In case of conflict between these Terms and any SLA or SOW, the specific agreement shall prevail.

4. Payment Terms

Unless otherwise agreed in writing:

• Invoices are due within 30 days of issue
• Project work may require deposits or milestone payments
• Late payments may incur interest at 4% above the Bank of England base rate
• We reserve the right to suspend services for overdue accounts

5. Intellectual Property

Upon full payment, clients receive ownership of custom-developed software and materials specifically created for them. Pre-existing tools, frameworks, and libraries used in development remain the property of Vortcom or their respective owners, with appropriate licences granted for use.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of our engagement. This obligation survives the termination of any service agreement.

7. Limitation of Liability

To the maximum extent permitted by law, Vortcom shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the fees paid for the specific service giving rise to the claim.

8. Warranty Disclaimer

While we strive for excellence, our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

9. Termination

Either party may terminate services with 30 days written notice unless otherwise specified in a service agreement. Upon termination, all outstanding fees become immediately due, and we will assist with reasonable transition activities.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.

11. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the new terms. Material changes will be communicated to active clients.
